Give & Get Partner Terms and Conditions

These Terms and Conditions (“Terms”) apply to businesses that participate in the Lemonshare Give & Get program (“Give & Get”) as Drop-off Partners. By registering as a Give & Get Drop-off Partner, you agree to be legally bound by these Terms.
1. About Give & Get
1.1 Who we are
Give & Get is operated by Lemonshare Pty Ltd (ABN 38 694 438 527 / ACN 694 438 527) (“Lemonshare”, “we”, “us”, “our”).

1.3 What Give & Get does
Give & Get connects local home growers with participating businesses that act as produce drop-off points.
Participating businesses (“Drop-off Partners”) agree to accept eligible homegrown produce from members of the local community and provide a small thank-you in return, such as a coffee, tea or other item determined by the Drop-off Partner.
Give & Get is designed to make sharing homegrown produce easier, reduce food waste and strengthen local communities.
1.4 Lemonshare's role
Lemonshare facilitates and promotes the Give & Get program but does not grow, purchase, sell, inspect, transport or store produce on behalf of Drop-off Partners.
Lemonshare does not guarantee the quality, safety, condition or suitability of any produce provided by a community member.
2. Becoming a Give & Get Drop-off Partner
2.1 Eligibility
Give & Get is available to eligible local businesses approved by Lemonshare.
Lemonshare may accept or decline an application at its discretion and may suspend or terminate a Partner's participation where necessary to protect the program, participants or the reputation of Give & Get.
2.2 Partner responsibilities
By joining Give & Get, the Drop-off Partner agrees to:
- provide a suitable location for community members to drop off eligible produce;
- ensure relevant staff understand how the Give & Get program operates;
- accept or decline produce at its discretion in accordance with these Terms;
- handle and store any accepted produce appropriately;
- provide the advertised “Get” or thank-you to eligible participants in accordance with the Partner's stated offer;
- display Give & Get signage and/or QR codes supplied by Lemonshare where reasonably practical; and
- notify Lemonshare if the business is no longer able or willing to participate.
3. Eligible Produce
Give & Get is intended for whole, homegrown produce that is suitable for sharing.
Accepted produce may include whole fruit, vegetables and other produce approved by Lemonshare from time to time.
3.1 Excluded produce
For food safety reasons, the following must not be accepted through Give & Get:
- leafy greens and salad leaves;
- berries;
- watermelon;
- mushrooms of any kind;
- eggs; and
- any other produce that Lemonshare identifies as unsuitable or higher risk from time to time.
Lemonshare may update the list of excluded produce where appropriate.
3.2 Condition and acceptance of produce
Produce should be:
- homegrown;
- whole and intact;
- reasonably clean and suitable for handling;
- free from visible mould, significant spoilage, pests or contamination; and
- suitable for human consumption.
The Drop-off Partner reserves the right to refuse or reject any produce at its discretion, including where the produce does not meet the Partner's quality or food safety standards, appears damaged, spoiled or contaminated, is unsuitable for the Partner's business, or for any other reasonable operational or business-related reason.
A Drop-off Partner is not required to provide a thank-you or other benefit for produce that it has declined or rejected.
Lemonshare may provide additional guidance to Drop-off Partners regarding acceptable produce.
4. Food Safety
4.1 Responsibility of the Donor
The person providing produce (“Donor”) is responsible for ensuring that the produce they provide is suitable for sharing and has been grown, harvested and handled appropriately.
Donors must not provide produce that is spoiled, contaminated, unsafe or otherwise unsuitable for consumption.
4.2 Responsibility of the Drop-off Partner
Once a Drop-off Partner accepts produce, the Partner is responsible for handling and storing that produce appropriately and in accordance with any applicable food safety requirements relevant to its business.
Drop-off Partners should not accept produce that they reasonably believe may be unsafe or unsuitable.
4.3 Lemonshare does not inspect produce
Lemonshare does not inspect, test, certify or approve produce and does not guarantee that produce provided through Give & Get is safe or suitable for consumption.
Lemonshare may remove a Drop-off Partner from the program or take other appropriate action where a food safety concern is identified.
5. The “Get”: Thank-you for Donors
Each Drop-off Partner will offer a small thank-you to people who provide eligible homegrown produce.
The thank-you may include, for example:
- a coffee;
- tea;
- a small food item; or
- another benefit determined by the Drop-off Partner.
The specific offer, eligibility requirements and any reasonable limits will be communicated by the Drop-off Partner and/or Lemonshare.
The thank-you is provided by the Drop-off Partner and is not supplied or guaranteed by Lemonshare.
Lemonshare does not guarantee that a particular thank-you will be available at all times.
6. Give & Get Partner Fee
6.1 Annual fee
The standard Give & Get Drop-off Partner fee is AUD $149 per year.
A special Founding Partner fee of AUD $99 per year is available to the first 20 businesses that join Give & Get as Founding Partners.
Founding Partners will lock in the AUD $99 annual fee for the duration of their continued participation in Give & Get. This means the annual Partner fee will remain at AUD $99 for as long as the business remains an active Give & Get Partner, subject to these Terms.
Once the first 20 Founding Partner places have been filled, new businesses will be charged the standard annual fee of AUD $149.
6.2 What the annual fee covers
The annual fee contributes to the establishment and operation of the Give & Get program, including:
- Partner onboarding;
- program setup;
- Give & Get directory listing;
- QR code stickers and materials;
- promotional support;
- Partner communications; and
- other resources provided to participating businesses.
6.3 Council or other funding
From time to time, Lemonshare may secure funding or financial support from a local council or other funding body to support the Give & Get program.
Where funding is secured, participating businesses may be eligible for a discount, reimbursement or waiver of their Give & Get Partner fee, subject to the eligibility requirements and other terms of the relevant funding agreement.
Any discount, reimbursement or waiver will be communicated to eligible Partners separately and does not automatically apply to all Give & Get Partners.
6.4 Automatic renewal
The annual fee will automatically renew every 12 months unless the Drop-off Partner cancels before the next renewal date.
By joining Give & Get, the Drop-off Partner authorises Lemonshare and its payment provider to charge the nominated payment method for the applicable annual fee.
6.5 Cancellation
A Drop-off Partner may cancel its Give & Get participation at any time by contacting Lemonshare.
Cancellation will prevent the next annual renewal but does not automatically entitle the Partner to a refund of the current annual fee.
6.6 No refunds
Annual Give & Get fees are non-refundable once the annual participation period has commenced, including where a Partner chooses to cancel during that period.
The annual fee covers setup, onboarding, QR code and promotional materials, directory inclusion and other program resources and services provided during the participation period.
Nothing in these Terms excludes or limits any rights that cannot lawfully be excluded under the Australian Consumer Law.
6.7 Failed payments
If an annual payment fails, Lemonshare may retry the payment or suspend the Partner's participation until payment is received.
If payment remains outstanding, Lemonshare may terminate the Partner's participation in Give & Get.
7. Promotion and Use of Business Information
By joining Give & Get, the Drop-off Partner agrees that Lemonshare may identify and promote the business as a Give & Get Partner.
This may include displaying the business:
- on the Give & Get directory or map;
- on the Lemonshare website or app;
- on Lemonshare social media;
- in Lemonshare newsletters;
- in promotional materials; and
- in Give & Get campaigns and community communications.
The Drop-off Partner may provide logos, photographs and other promotional material for this purpose and confirms that it has the right to provide such material to Lemonshare.
8. Partner Materials
Lemonshare may provide Give & Get materials including QR codes, stickers, signage, digital assets and promotional resources.
These materials remain part of the Give & Get program and must not be altered in a way that misrepresents the program or Lemonshare.
Lemonshare may update or replace program materials from time to time.
9. Conduct and Program Integrity
Drop-off Partners must act lawfully, respectfully and in a manner consistent with the purpose of Give & Get.
A Partner must not:
- knowingly accept unsafe or prohibited produce;
- misrepresent the Give & Get program;
- use Give & Get to promote unlawful or harmful activity;
- materially alter the Give & Get offer without notifying Lemonshare; or
- engage in conduct that Lemonshare reasonably considers damaging to the integrity or reputation of the program.
10. Suspension and Termination
Lemonshare may suspend or terminate a Partner's participation where:
- the Partner breaches these Terms;
- there is a food safety or other material risk;
- the Partner is no longer operating;
- fees remain unpaid;
- the Partner misuses Give & Get materials or branding; or
- Lemonshare reasonably considers termination necessary to protect the Give & Get program or its participants.
Where reasonably practicable, Lemonshare will notify the Partner before termination.
A Partner may terminate its participation at any time by contacting Lemonshare. No refund will be provided for the remaining portion of the annual participation period, except where required by law.
11. Disclaimer and Liability
Give & Get is a community sharing program. Lemonshare facilitates the program but does not control the condition, quality, safety or handling of produce provided by community members.
To the extent permitted by law, Lemonshare is not responsible for loss, damage, illness, injury or other consequences arising from produce provided, accepted, handled, consumed or otherwise used through Give & Get.
Each Partner remains responsible for its own business operations, employees, premises, food handling practices, licences, registrations and insurance.
Nothing in these Terms excludes or limits rights or remedies that cannot legally be excluded under the Australian Consumer Law.
12. Privacy
12.1 Collection and use of information
Lemonshare may collect personal information and business information provided by the Drop-off Partner in connection with its participation in Give & Get.
This may include:
- business name and trading name;
- business address and contact details;
- contact person name, email address and phone number;
- payment and billing information;
- information relating to the Partner's Give & Get participation;
- communications between the Partner and Lemonshare; and
- information required to administer, operate, promote and improve Give & Get.
12.2 How information is used
Lemonshare may use information collected from Drop-off Partners to:
- process and administer Partner registrations and payments;
- provide onboarding and Partner support;
- operate and manage the Give & Get program;
- communicate with Partners about Give & Get;
- provide promotional and marketing opportunities;
- maintain the Give & Get directory and map;
- administer council, sponsorship or other funding programs;
- monitor and improve the Give & Get program;
- comply with legal and regulatory obligations; and
- otherwise operate Lemonshare's business.
12.3 Sharing information
Lemonshare may disclose relevant information to service providers and third parties where reasonably necessary to operate Give & Get, including payment providers, technology providers, printing and fulfilment providers, marketing providers, and council or funding partners where relevant to a particular program or funding arrangement.
Lemonshare will not sell personal information to third parties.
12.4 Public business information
By participating in Give & Get, the Partner acknowledges that certain business information may be publicly displayed as part of the program, including the business name, location, contact details, website, social media details, logo, photographs and other information provided for promotional purposes.
12.5 Privacy Policy
Personal information collected by Lemonshare is handled in accordance with the Lemonshare Privacy Policy, as amended from time to time.
The Lemonshare Privacy Policy explains how Lemonshare collects, uses, stores and protects personal information and how individuals can access or request correction of their personal information.

13. Indemnity
To the extent permitted by law, the Drop-off Partner agrees to indemnify Lemonshare against losses, claims, costs or liabilities arising from the Partner's breach of these Terms, negligence, unlawful conduct or operation of its business in connection with Give & Get.
14. Changes to Give & Get
Lemonshare may update, modify or discontinue aspects of Give & Get from time to time, including eligibility requirements, excluded produce, program materials and promotional activities.
Where a material change affects participating Partners, Lemonshare will provide reasonable notice where practicable.
15. Governing Law
These Terms are governed by the laws of Victoria, Australia.
The parties submit to the non-exclusive jurisdiction of the courts of Victoria, Australia.
16. Acceptance
By registering as a Give & Get Drop-off Partner and paying the applicable annual fee, the business confirms that it has read, understood and agreed to these Terms and Conditions.
